Business Law Services Plan
Many business owners hesitate to call a lawyer because of uncertainty about time and cost. Our Business Law Services Plan solves this problem by providing affordable access to legal guidance when you need it.
The plan offers reduced hourly rates for small and medium-sized businesses that maintain a modest fee deposit with our firm. Your deposit stays in our trust account, and fees get deducted monthly based on actual services used. If we don’t work on anything in a given month, nothing gets deducted. You get to choose from two options:
Option 1: Best for smaller businesses and startups needing 1-5 hours of legal services monthly. Provides $50 off our standard rate for the first three hours each month and $30 off for additional hours.
Option 2: Designed for medium-sized businesses needing more extensive services, typically 3-10 hours monthly. Provides $50 off our standard rate for the first six hours each month and $30 off for additional hours.
The plan covers non-litigation services, including contract drafting, review and negotiation, general business law and corporate governance matters, demand letters for contract and collection issues, legal and regulatory compliance, employment law matters, business and professional licensing issues, and other business-related legal matters as we agree.
Questions Business Owners Ask
Here are answers to common questions about business law:
What is the best legal structure for a new business in Arizona?
The right structure depends on your specific situation. Common options include:
- Sole proprietorships
- Partnerships
- Limited liability companies (LLCs)
- S-corporations
- C-corporations
Each has different implications for liability protection, taxation, management flexibility, and administrative requirements. LLCs are popular for small businesses because they provide liability protection with simpler management requirements than corporations. S-corporations can offer tax advantages for profitable businesses. C-corporations make sense for companies seeking outside investment. Your decision should consider factors like the number of owners, your growth plans, liability concerns, tax situation, and how you want to manage the business.
How can a well-drafted operating agreement prevent future partnership disputes?
An operating agreement for an LLC (or partnership agreement or shareholders agreement for other entities) establishes clear rules for how the business operates and how owners work together. This prevents disputes by addressing issues upfront, including each owner’s capital contributions and ownership percentages, profit and loss distribution, management authority and decision-making processes, procedures for admitting new members or buying out existing ones, what happens if an owner wants to leave or dies, and how disputes get resolved.
Without clear agreements, partners often have different expectations about these critical issues. When disagreements arise, there’s no framework for resolution. A well-drafted agreement provides that framework and makes ownership interests clear. For business owners, this also ties into estate planning since your operating agreement affects what happens to your business interest when you pass away.
What are my options for resolving business challenges outside of court?
Several alternatives exist for resolving business disputes without litigation:
- Negotiation involves direct discussions between parties to reach a settlement. This is often the fastest and least expensive option.
- Mediation brings in a neutral third party to facilitate discussions and help parties find common ground. The mediator doesn’t make decisions but helps parties reach their own agreement.
- Arbitration involves a neutral arbitrator in decision-making. It’s more formal than mediation but typically faster and less expensive than court. Many business contracts include arbitration clauses requiring this approach.
Some situations work better with litigation, particularly when you need court enforcement power or when the other party refuses reasonable resolution attempts. We help clients evaluate which approach makes sense for their specific situation.
